What will you do?
As the Company Secretary, you will play a critical governance, advisory, and compliance role within Sanlam, specifically supporting the Sanlam Fintech cluster. Your responsibilities will include ensuring statutory and regulatory compliance, facilitating board and committee operations, and upholding strong corporate governance across Fintech entities.

Key Responsibilities:
Corporate Governance and Board Support

  • Organise and administer board and committee meetings for Fintech subsidiaries.
  • Prepare board packs, agendas, and accurate minutes within agreed timelines.
  • Advise Fintech leadership on governance best practices and evolving regulatory requirements.

Statutory and Regulatory Compliance

  • Maintain statutory records, including CIPC filings, share registers, and director disclosures.
  • Engage with regulators on licensing, reporting, and compliance matters.
  • Collaborate with legal and compliance teams to monitor Fintech regulatory developments.
  • Support internal/external audits and regulatory reviews where applicable.

Strategic and Operational Support

  • Embed governance principles within Fintech business operations.
  • Assist the Group Company Secretary with broader governance initiatives.
  • Support statutory responsibilities, including Public Officer duties.

Qualification and Experience
Qualifications

  • CA(SA), Admitted Attorney (LLB/BCom with articles), or Chartered Secretaries (CIS) qualification.
  • Additional legal or financial qualifications will be advantageous.

Competencies

  • Knowledge of Sanlam’s Group structure is beneficial.
  • Familiarity with key regulations (Companies Act, JSE Listing Requirements, Financial Markets Act, Insurance Act, GOGs, GOIs).
  • Experience in long-term insurance or financial services is preferred.
  • Expertise in company secretarial duties, board resolutions, and reporting.

Experience

  • Minimum 5 years in a relevant role, preferably in a corporate or listed environment.
  • Exposure to confidential information and executive-level business etiquette.
  • Understanding of King IV compliance.
  • Strong drafting skills and proficiency in Microsoft Office and board pack software.

  • Company secretarial and administrative expertise.

  • Effective reporting and stakeholder engagement.
