Job Description

We are seeking a Coordinator – Company Secretary to provide comprehensive secretarial support to MTN Group subsidiary structures, including the Capex Steering Committee, other management committees, and the Company Secretarial departmental meetings.

Key Responsibilities

Meeting Coordination

  • Draft and distribute meeting notices, agendas, and committee packs.
  • Collate submissions and feedback from relevant stakeholders.
  • Record meeting proceedings, prepare attendance registers, and manage teleconference facilities.
  • Produce, circulate, and track meeting minutes and action points for follow-up.

CIPC and Administrative Functions

  • Prepare and submit statutory documents (e.g., director appointments, resolutions, annual returns) to the Registrar of Companies.
  • Maintain accurate filing of statutory records and a register of resolutions.

Directors’ Fees and Expense Claims

  • Maintain attendance registers and prepare payment schedules.
  • Liaise with the tax and finance departments to ensure compliance.
  • Process and manage directors’ fees and expense claims, ensuring timely approvals and payments.

Online Boardbooks Administration

  • Upload meeting packs and manage access on the Boardbooks portal.
  • Address user queries and liaise with service providers for issue resolution.

Travel and Accommodation Management

  • Coordinate travel and accommodation arrangements for departmental managers and directors.
  • Process travel requisitions, activate international roaming, and liaise with travel agents.

Ad-Hoc Support

  • Assist with research on governance trends and director development sessions.
  • Provide general administrative support, including managing proxies, resolutions, catering orders, and internal customer requests.

Qualifications and Experience

Education:

  • A 3-year degree in a related field (Commerce, Economics, or Legal).

Experience:

  • 2-4 years of professional experience in company secretarial functions, ideally within a listed company.
  • Familiarity with the telecommunications industry is advantageous.

Skills and Competencies

Knowledge:

  • Strong understanding of company secretarial administration and minute writing.
  • Knowledge of governance and compliance requirements.

Skills:

  • Exceptional organizational and time-management abilities.
  • Excellent interpersonal and communication skills, with confidence in engaging at all levels.
  • Proficiency in managing digital platforms like Boardbooks.
